Board of Directors

Nishnabotna Valley REC is governed by a member-elected Board of Directors. The operations of the Cooperative are carried out under the policies established by the seven-member Board of Directors. Each member of the Board of Directors is an active member of the cooperative, living within the district they represent, and obtains his or her electricity from the Cooperative just as every other member does.

As a volunteer board, directors are required to meet 11 times a year but spend numerous hours outside the board room attending meetings, training, and community functions. Directors also spend time reviewing materials in preparation for board meetings. Members interested in running for the board of directors are encouraged to contact the cooperative to learn more.

When are Directors elected?

Directors are elected by the membership by voting prior to the Annual Meeting of Members in Harlan, Iowa, held each year in August. The directors are elected for a three-year term, and the districts are staggered to ensure governance continuity for the Cooperative.

 

Nishnabotna Valley REC service territory is made up of seven districts. Here is a map of those districts.

Each member-owner has a vote in a cooperative. If you are a member you will receive a letter mailed at lease 10 days prior to the Annual Meeting of Members that contains information about when and where the meeting will be held. The letter to the membership also states the directors on the ballot to be elected and other business to be discussed at that year's meeting. More information will be provided here as we approach our next Annual Meeting of Members.

How can I serve on the Board of Directors?

Elected directors must live in the Director District for which they serve. No director may be eligible to become or remain a director if said member is directly employed by or financially interested in a competing enterprise of a business selling electric energy or supply to the Cooperative or a business primarily engaged in selling electrical and plumbing appliances, fixtures or supplies to members of the Cooperative.

Directors are selected by Director District each year by the Nominating Committee. The Nominating Committee is appointed by the Board of Directors at least sixty (60) days before the meeting of the members at which the Directors are to be elected. The committee on nominations must consist of one member from each District. The Nominating Committee will prepare and post the list of nominations at least twenty (20) days before the annual meeting of members.

Any fifteen or more members acting together may make other nominations by petition not less than 15 days prior to the meeting. The petitioned nomination will be posted at the same place as the where the list of nominations by the committee is posted. All nominations made by petition shall be limited to members to the District from which a Director is to be elected, and the petitioners must also be from said District.

NVREC Board of Directors

Regular monthly board meetings are held at the Cooperative office at 1317 Chatburn Avenue, Harlan, Iowa, typically on the last Thursday of each month, though dates are subject to change. Additionally, every other month, we hold a joint board meeting with our shared services electric co-op, Midland Power Cooperative, in Boone, Iowa.

Members interested in attending an upcoming board meeting should first contact the co-op. Often, the CEO can address a member’s concern or request. If it is the member’s desire, after discussion with the CEO, to present the subject matter to the Board, then the member should request to be placed on the agenda and give written notice of the subject matter upon which they desire to address the meeting. Such written notice shall be received at the headquarters of the Cooperative on or before 15 days before the meeting date.

When the request is received, the CEO will convey the request to the President of the Board. The Board President will determine whether the member shall be allowed to address the Board. The President (or CEO at the direction of the President) will in any event respond to the member’s request in writing, and if granted, notify the member of the date and time the member is to appear before the Board.
